Findernate is an online marketplace platform owned and operated by Findernate Ecom Private Limited, a company incorporated under the Companies Act, 2013, with its registered office at No. 5/6-A, Pattanur, Karimangalam, Jakkupatti, Dharmapuri, Tamil Nadu – 635 202, India. Findernate operates the website accessible at https://findernate.com/ (hereinafter referred to as the "Platform"), which serves as a digital marketplace connecting independent third-party sellers ("Sellers") with buyers and consumers ("Customers" or "Buyers").
These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Findernate Ecom Private Limited ("Findernate," "we," "us," or "our") governing your access to and use of the Platform, including all features, functionalities, content, products, and services made available through the Platform. These Terms are to be read in conjunction with our Privacy Policy, Community Guidelines, and Seller Terms and Conditions (where applicable), all of which are incorporated herein by reference.
By accessing, browsing, registering on, or using the Platform in any manner, you unconditionally agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree to these Terms, you must immediately discontinue your use of the Platform and, if applicable, deactivate your account. Your continued use of the Platform after any changes to these Terms shall constitute your acceptance of the modified Terms.
Findernate reserves the right to amend, update, or modify these Terms at any time at its sole discretion. Any changes will be effective immediately upon posting to the Platform. Findernate will endeavour to notify registered Users of material changes through email notification or a prominent notice on the Platform. It is your responsibility to review these Terms periodically. Your continued use of the Platform following the posting of changes constitutes your binding acceptance of the revised Terms. If you do not agree to any amendment, your sole remedy is to stop using the Platform and, if applicable, close your account.
In these Terms, the following words and expressions shall have the meanings assigned to them below unless the context otherwise requires:
(a) "Platform" means the Findernate website at https://findernate.com/, any associated mobile application, APIs, and all services and functionalities offered therein.
(b) "User" means any individual or entity that accesses or uses the Platform in any capacity, including Buyers and Sellers.
(c) "Buyer" or "Customer" means a User who browses, purchases, or intends to purchase products or services listed on the Platform.
(d) "Seller" means a registered third-party merchant, vendor, or individual who lists and sells products or services on the Platform pursuant to the Seller Terms and Conditions.
(e) "Listing" means any product, service, offer, or advertisement posted by a Seller on the Platform, including all associated images, descriptions, pricing, and other information.
(f) "Order" means a confirmed purchase transaction initiated by a Buyer for one or more products or services listed on the Platform.
(g) "Transaction" means the complete commercial exchange between a Buyer and a Seller facilitated through the Platform, from order placement to payment completion and delivery.
(h) "User Content" means any content, data, text, images, reviews, ratings, comments, or other material uploaded, posted, or submitted by a User to the Platform.
(i) "Intellectual Property" means all patents, trademarks, trade names, service marks, copyrights, trade secrets, domain names, logos, designs, and any other proprietary rights recognised under applicable law.
(j) "Applicable Law" means all statutes, regulations, rules, orders, notifications, guidelines, and judicial pronouncements applicable in India, including but not limited to the Information Technology Act, 2000, the Consumer Protection Act, 2019, the Companies Act, 2013, the Goods and Services Tax laws, and the Digital Personal Data Protection Act, 2023.
(k) "Grievance Officer" means the designated officer appointed by Findernate in accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, whose contact details are provided in Section 14 of these Terms.
(l) "Force Majeure Event" means any event beyond the reasonable control of a party, including but not limited to acts of God, natural disasters, epidemics, pandemics, government actions, wars, civil disturbances, internet or telecommunication outages, power failures, or cyberattacks.
Words importing the singular include the plural and vice versa. Headings are for convenience only and shall not affect the interpretation of these Terms. References to "including" shall be construed as "including without limitation."
Findernate provides a technology platform that enables independent Sellers to list, advertise, and sell their products and services to Buyers. Findernate's role is limited to facilitating the discovery and transaction process between Buyers and Sellers. Findernate provides tools for listing management, order communication, payment processing facilitation, and dispute resolution assistance. Findernate also provides certain ancillary services such as sponsored listings, seller analytics, and customer support to enhance the marketplace experience.
Findernate is NOT a seller, manufacturer, distributor, reseller, or trader of any products or services listed on the Platform unless explicitly stated to the contrary in a specific product or category. Findernate does not own, hold, inspect, store, or have physical possession of any products listed by Sellers on the Platform. Findernate does not warrant the merchantability, fitness, quality, authenticity, legality, or accuracy of any Listing or product. Findernate does not take responsibility for any representation, warranty, guarantee, description, or claim made by any Seller in their Listings.
Findernate operates as an "intermediary" as defined under Section 2(1)(w) of the Information Technology Act, 2000, and its role is to provide a neutral platform for Buyers and Sellers to interact and transact. As an intermediary, Findernate is not the party to any contract of sale between a Buyer and a Seller. The contract of sale is formed directly between the Buyer and the Seller upon Order confirmation. Findernate acts as the limited payment collection agent of the Seller solely for the purpose of collecting payment from the Buyer and remitting the same to the Seller after deduction of applicable fees and charges. This limited payment agency relationship does not make Findernate a party to the underlying sale contract, nor does it make Findernate liable for any breach of that contract by the Seller. Findernate complies with its obligations as an intermediary under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.
To register for and use the Platform, you must be at least eighteen (18) years of age. By registering, you represent and warrant that you are at least 18 years old, that you have the legal capacity to enter into a binding contract, and that you are not prohibited from using the Platform under any applicable law. Persons under 18 years of age are strictly prohibited from registering or using the Platform. If it comes to Findernate's attention that a registered User is under 18 years of age, Findernate reserves the right to immediately suspend and terminate that User's account and all associated data.
To create an account on the Platform, you will be required to provide the following information accurately and completely:
You agree to provide accurate, current, and complete information during the registration process and to update such information promptly if it changes. Providing false, inaccurate, or misleading registration information is a material breach of these Terms and may result in immediate account suspension or termination.
You are solely responsible for maintaining the confidentiality of your account credentials, including your password. You agree not to share your account credentials with any third party. You agree to immediately notify Findernate at infofindernate@gmail.com if you become aware of any unauthorised access to or use of your account. Findernate will not be liable for any loss or damage arising from your failure to maintain the security of your account credentials. Any activity conducted through your account will be deemed to have been conducted by you, and you shall be solely responsible for all such activity.
Each individual User may maintain only one (1) active Buyer account on the Platform. The creation of multiple accounts by a single individual for the purpose of circumventing Platform rules, abusing promotions, manipulating ratings or reviews, or any other purpose is strictly prohibited and constitutes a material breach of these Terms. Findernate reserves the right to identify and merge, suspend, or permanently ban multiple accounts operated by the same individual.
Users may browse the Platform and view product Listings without creating an account. However, certain features, including the ability to add items to a wishlist, track orders, post reviews, and complete purchases, require a registered and logged-in account. Findernate provides search, filter, and recommendation tools to assist Users in discovering products. These tools are provided for convenience only, and Findernate makes no warranty regarding the completeness or accuracy of search results.
A Buyer may add products to a virtual shopping cart while browsing the Platform. Adding a product to the cart does not constitute an Order, does not reserve the product, and does not guarantee availability or pricing. Prices and availability are subject to change until an Order is formally confirmed. Findernate does not guarantee that items in a User's cart will remain available or at the same price until the Order is completed.
An Order is placed when a Buyer selects a product, proceeds to checkout, provides a valid delivery address, selects a payment method, and successfully completes the payment process. By placing an Order, the Buyer makes an offer to purchase the product from the Seller at the stated price and on the stated terms. The Buyer acknowledges that they have reviewed the product Listing, including price, description, estimated delivery timeline, and the Seller's return and refund policy, before placing the Order.
Payments on the Platform are processed through secure third-party payment gateways integrated into the Platform. By initiating a payment, the Buyer authorises Findernate to collect payment on behalf of the relevant Seller as limited payment collection agent. Payment is processed at the time of Order placement. Findernate does not store full payment card details on its servers. Buyers are subject to the terms and conditions of the applicable payment gateway provider.
Upon successful payment processing, the Buyer will receive an Order confirmation via email and/or SMS. This Order confirmation is an acknowledgement that Findernate has received the Buyer's Order and has forwarded it to the relevant Seller. It does not constitute acceptance of the Order by the Seller. The contract of sale between the Buyer and the Seller is formed when the Seller confirms and accepts the Order, which is typically communicated to the Buyer via a separate dispatch or acceptance notification.
Shipping and delivery of products is the sole responsibility of the Seller. Estimated delivery timelines provided on the Platform are indicative only and are not guaranteed by Findernate. Actual delivery timelines may vary based on the Seller's location, chosen logistics partner, destination, and external factors. Findernate is not responsible for delays in delivery caused by the Seller, the logistics provider, customs, or other third parties. Buyers are encouraged to track their orders through the tracking information provided by the Seller.
After receiving a product, Buyers are encouraged to leave an honest review and rating for the product and the Seller. Reviews must be based on the Buyer's genuine experience with the product. Buyers must not post false, misleading, defamatory, or fraudulent reviews. Findernate reserves the right to moderate, edit, or remove reviews that violate these Terms or Community Guidelines. Reviews are subject to the User Content provisions of Section 8.
Sellers are solely responsible for creating and maintaining accurate, complete, and up-to-date Listings. Each Listing must include a truthful and detailed description of the product, accurate product images, the correct selling price including all applicable taxes, available stock quantity, country of origin, any known defects or limitations, and the Seller's applicable return and exchange policy. Sellers must not list prohibited items as described in the Seller Terms and Conditions. Sellers must ensure that their Listings comply with all applicable laws, including consumer protection laws, labelling requirements, and sector-specific regulations.
Sellers are solely responsible for setting their own prices, ensuring that all applicable taxes (including GST) are correctly reflected in the listing price or itemised at checkout, and complying with all tax laws applicable to their sales on the Platform. Findernate does not provide tax advice. Sellers must maintain valid GST registration (where applicable) and comply with all GST filing obligations. Findernate may collect and remit applicable TDS/TCS as required under Indian tax law.
For each completed sale, the Seller is responsible for issuing a GST-compliant tax invoice to the Buyer. Findernate is NOT the seller of record and does NOT issue invoices on behalf of Sellers. The responsibility for invoice compliance under the Goods and Services Tax Act and applicable rules rests entirely with the Seller.
Sellers must confirm or reject Orders within twenty-four (24) hours of receipt. Upon confirmation, Sellers must package products securely to prevent damage during transit, dispatch the product within the handling time stated in the Listing, provide valid tracking information to the Buyer, and ensure delivery is attempted within the stated delivery window. Sellers are responsible for arranging their own courier or logistics services.
Sellers must honour return and refund requests in accordance with their stated return policy and the mandatory return provisions set out in Section 9 of these Terms and in the Seller Terms and Conditions. Sellers must not refuse valid return requests for products that are damaged, defective, incorrectly described, or not delivered.
Each Seller agrees to indemnify, defend, and hold harmless Findernate, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with the Seller's products, Listings, business conduct, tax non-compliance, or breach of these Terms or any applicable law. This indemnity obligation survives termination of the Seller's account.
Users must not use the Platform to engage in any activity that is illegal under applicable Indian or international law, including but not limited to fraud, money laundering, tax evasion, sale of counterfeit goods, sale of stolen property, trafficking of prohibited or regulated items, or any other criminal activity. Users must not submit false, misleading, or fraudulent information during registration, at checkout, or in any communications with Findernate or other Users.
Users must not post, upload, transmit, or otherwise make available any content that is defamatory, obscene, pornographic, sexually explicit, hateful, harassing, threatening, abusive, violent, discriminatory, or otherwise harmful or offensive. This includes content that promotes hatred or violence against any individual or group based on race, religion, gender, sexual orientation, nationality, disability, or any other protected characteristic. Users must not post content that glorifies self-harm, suicide, or eating disorders.
Users must not attempt to disrupt, damage, overburden, or impair the Platform's infrastructure, including through the use of viruses, malware, ransomware, denial-of-service attacks, or any other harmful code. Users must not attempt to gain unauthorised access to any portion of the Platform, other Users' accounts, or Findernate's computer systems or networks. Users must not scrape, crawl, index, or harvest data from the Platform without Findernate's express written permission. Users must not create fake accounts, engage in click fraud, or manipulate the Platform's algorithms, rankings, or recommendation systems.
Users must not infringe upon the intellectual property rights of Findernate or any third party. This includes uploading, posting, or sharing content for which the User does not hold the necessary rights, licences, or permissions. Users must not use Findernate's trademarks, logos, or branding without prior written authorisation. Sellers must not list counterfeit, pirated, or unauthorised copies of branded products. Repeat infringers will have their accounts permanently terminated.
You retain all ownership rights in the User Content that you submit to the Platform. By submitting User Content, you grant Findernate a non-exclusive, royalty-free, worldwide, perpetual, irrevocable, sublicensable, and transferable licence to use, reproduce, distribute, display, publish, adapt, translate, and create derivative works from your User Content in connection with the operation, promotion, and improvement of the Platform. This licence continues even if you delete your User Content or close your account, to the extent that Findernate has already made use of such content in marketing or archival materials.
By submitting User Content, you represent and warrant that: (a) you are the original creator of the User Content or have obtained all necessary rights and permissions to submit it; (b) the User Content does not infringe upon the intellectual property, privacy, publicity, or other rights of any third party; (c) the User Content does not contain any false, misleading, defamatory, or illegal material; (d) the User Content does not contain any harmful code, malware, or software intended to damage or impair any systems; and (e) the User Content complies with these Terms and all applicable laws.
Findernate reserves the right, but is not obligated, to review, monitor, edit, moderate, or remove any User Content at any time and for any reason, without prior notice to the User. Findernate is not liable for the accuracy, completeness, or legality of any User Content posted by third-party Users. Findernate's decision to remove or retain User Content is final and made at its sole discretion. Users who repeatedly post content in violation of these Terms may have their accounts suspended or permanently terminated.
A Buyer is entitled to request a return and/or refund in the following circumstances:
Return and refund requests must be raised within the return window specified in the Seller's return policy or within seven (7) calendar days of delivery, whichever is shorter. Buyers must provide documentary evidence (photographs, unboxing video where applicable) of the issue when raising a return request.
Returns and refunds will not be permitted in the following circumstances:
A Buyer may cancel an Order before it has been dispatched by the Seller by submitting a cancellation request through the Platform. Once an Order has been dispatched, cancellation is not possible, and the Buyer must instead initiate a return request upon delivery. In the event of a valid pre-dispatch cancellation, the full Order amount will be refunded to the original payment method within five to seven (5–7) business days, subject to payment gateway processing timelines. Sellers may cancel an Order if the product is out of stock or if there is a pricing error; in such cases, the Buyer will be fully refunded and notified promptly.
All prices displayed on the Platform and all transactions are denominated in Indian Rupees (INR) unless otherwise explicitly stated. Findernate does not currently support foreign currency transactions or cross-border payments.
Findernate charges Sellers a commission or marketplace fee on each completed transaction. The applicable fee rates are set out in the Seller Terms and Conditions and may be updated from time to time with advance notice to Sellers. Buyers are not charged a separate platform fee by Findernate, though Sellers may choose to include such charges in their product pricing.
After deduction of Findernate's applicable fees, commissions, and any outstanding amounts owed by the Seller (including chargebacks, refunds, and penalties), Findernate will remit the balance to the Seller's registered bank account in accordance with the payout schedule specified in the Seller Terms and Conditions. Payouts may be withheld if there are pending disputes, investigations, or legal holds affecting the Seller's account.
In the event of a payment dispute between a Buyer and a Seller, Findernate may, at its sole discretion, temporarily hold the disputed amount pending resolution of the dispute. Findernate's decision on payment disputes, while made in good faith, is not binding as a legal determination and does not preclude either party from seeking legal remedies.

Findernate reserves the right to add or remove accepted payment methods at any time without prior notice to Users.
The Platform and all its content, including but not limited to the Findernate name, logo, trademark, trade dress, website design, user interface, software, code, algorithms, databases, compilations, text, graphics, images, audio, and video content created by or for Findernate, are the exclusive intellectual property of Findernate Ecom Private Limited and are protected by applicable Indian and international copyright, trademark, patent, and other intellectual property laws.
Subject to your compliance with these Terms, Findernate grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform for personal, non-commercial purposes. This licence does not include the right to reproduce, modify, distribute, sell, create derivative works from, publicly display, or otherwise exploit any Findernate intellectual property. Any unauthorised use of Findernate's intellectual property will result in immediate termination of this licence and may give rise to civil and criminal liability.
Product names, logos, brand names, and trademarks mentioned or displayed in third-party Listings on the Platform are the property of their respective owners and are used solely for identification purposes. Findernate does not claim any ownership over such third-party marks. Any use of third-party intellectual property in Listings must be authorised by the relevant rights holder. If you believe that any content on the Platform infringes your intellectual property rights, please contact us at infofindernate@gmail.com with details of the alleged infringement.
Your privacy is important to us. The collection, use, storage, and disclosure of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. You can review our Privacy Policy at https://findernate.com/privacy-policy. By using the Platform, you consent to the collection and use of your information as described in our Privacy Policy.
We collect and use your personal data to provide and improve our services, process transactions, communicate with you, ensure Platform security, comply with legal obligations, and personalise your experience. We do not sell or rent your personal data to third parties. We may share your data with Sellers (limited to order fulfilment purposes), service providers, and authorities as described in our Privacy Policy.
The Platform uses cookies and similar tracking technologies to enhance your user experience, analyse usage patterns, and deliver relevant content. By using the Platform, you consent to our use of cookies in accordance with our Cookie Policy (described in detail in our Privacy Policy). You may manage your cookie preferences through your browser settings; however, disabling certain cookies may affect your ability to use some features of the Platform.
The Platform and all content, services, and features available through the Platform are provided on an "as is" and "as available" basis without any representations or warranties of any kind, express or implied. To the fullest extent permitted by applicable law, Findernate disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, title, accuracy, reliability, and completeness.
Nothing on the Platform constitutes legal, financial, medical, professional, or any other form of expert advice. Any information provided on the Platform is for general informational purposes only. Users should seek independent professional advice before making any decisions based on information found on the Platform.
Findernate does not verify the identity, credentials, licences, or qualifications of Sellers, nor does it independently verify the accuracy, quality, safety, legality, or authenticity of any Listing, product, or service. Any representations made by Sellers in their Listings are the sole responsibility of those Sellers. Findernate is not responsible for the fulfilment, quality, or outcome of any transaction between a Buyer and a Seller.
Findernate does not guarantee that the Platform will be available at all times without interruption. The Platform may be taken offline for maintenance, updates, or due to technical failures, cyberattacks, or Force Majeure Events. Findernate will not be liable for any loss or damage arising from the unavailability or downtime of the Platform.
In accordance with the Information Technology Act, 2000, and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, Findernate has designated a Grievance Officer to address complaints and concerns raised by Users. The Grievance Officer can be contacted at:

Upon receipt of a complaint or grievance, the Grievance Officer will acknowledge receipt within twenty-four (24) hours. All complaints will be investigated and, where appropriate, resolved within thirty (30) calendar days of receipt. Findernate will communicate the outcome of the investigation to the complainant within the stipulated timeline.
If a User believes that any content on the Platform infringes their intellectual property rights, violates applicable law, or is otherwise unlawful, they may submit a take-down request to the Grievance Officer at infofindernate@gmail.com with: (a) the URL or specific location of the allegedly infringing content; (b) a detailed description of the nature of the infringement; (c) the complainant's full contact details; (d) a declaration that the information provided is true and accurate; and (e) proof of ownership or authority (where applicable). Findernate will review the request and, if valid, take appropriate action including removing or disabling access to the content within a reasonable timeframe.
Findernate encourages Users to first attempt to resolve disputes informally by contacting our customer support team at infofindernate@gmail.com. If informal resolution is unsuccessful, disputes may be escalated to the formal arbitration process described in Section 17. Users also retain the right to approach appropriate consumer forums, courts, or regulatory authorities under applicable Indian law.
To the maximum extent permitted by applicable law, Findernate shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, or any other intangible loss, arising out of or in connection with your use of, or inability to use, the Platform or any products purchased thereon, regardless of whether Findernate has been advised of the possibility of such damages.
To the extent that Findernate's liability cannot be entirely excluded under applicable law, Findernate's total aggregate liability to any User for all claims arising out of or related to these Terms or the use of the Platform shall not exceed the greater of: (a) Indian Rupees Ten Thousand (INR 10,000); or (b) the total fees paid by that User to Findernate in the three (3) months preceding the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless Findernate, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and partners from and against any and all claims, damages, losses, liabilities, suits, actions, proceedings, costs, and expenses (including reasonable legal and attorney fees) arising out of or relating to: (a) your use of or access to the Platform; (b) your violation of these Terms or any applicable law; (c) your User Content; (d) your infringement of any intellectual property or other rights of any third party; or (e) your conduct on the Platform. This indemnity obligation survives termination of your account.
Findernate reserves the right, at its sole and absolute discretion, to suspend, restrict, or permanently terminate your account and access to the Platform at any time, with or without notice and without liability to you, for any reason including but not limited to: (a) violation of these Terms or any other Findernate policy; (b) provision of false or misleading registration information; (c) engaging in fraudulent, abusive, or illegal conduct; (d) failure to pay amounts owed; (e) receiving excessive complaints from other Users; (f) being under 18 years of age; (g) being barred from receiving services under applicable law; or (h) posing a risk to the security, integrity, or reputation of the Platform.
You may close your account at any time by submitting a request through the Platform's account settings or by emailing infofindernate@gmail.com. Account closure requests will be processed within a reasonable time. Prior to account closure, you must ensure all pending Orders are fulfilled (for Sellers), all outstanding disputes are resolved, and all amounts owed to Findernate are paid. Account closure does not relieve you of any obligations or liabilities that arose prior to the date of closure.
Upon termination or suspension of your account: (a) your right to access and use the Platform ceases immediately; (b) Findernate may, but is not obligated to, retain copies of your data as required by applicable law or as described in the Privacy Policy; (c) any licence granted to you under these Terms terminates; (d) any pending Orders may be cancelled at Findernate's discretion; and (e) all provisions of these Terms that by their nature should survive termination (including indemnity, limitation of liability, intellectual property, and dispute resolution provisions) shall continue to apply.
These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles. The parties irrevocably submit to the exclusive jurisdiction of the courts located in Dharmapuri, Tamil Nadu, India, for the resolution of any dispute not subject to arbitration under these Terms.
Before initiating any formal legal proceeding, the parties agree to first attempt to resolve any dispute, claim, or controversy through good faith informal negotiation. A party seeking dispute resolution must send a written notice to the other party describing the nature of the dispute and the relief sought. The parties shall have thirty (30) calendar days from receipt of such notice to attempt to reach an informal resolution.
If informal resolution fails, any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator mutually agreed upon by the parties or, failing agreement within fifteen (15) days, appointed in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Dharmapuri, Tamil Nadu, India. The language of the arbitration proceedings shall be English. The arbitral award shall be final and binding on both parties.
You agree that any dispute resolution proceedings, whether in arbitration or court, shall be conducted on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration in relation to any claim against Findernate.
Findernate shall not be liable for any failure or delay in the performance of its obligations under these Terms where such failure or delay results from a Force Majeure Event, including but not limited to acts of God, natural disasters (earthquakes, floods, cyclones), fires, epidemics or pandemics, acts of war or terrorism, government actions or regulations, nationwide strikes or lockouts, power failures, disruptions to the internet or telecommunications infrastructure, cyberattacks, or any other cause beyond Findernate's reasonable control. In such an event, Findernate's obligations shall be suspended for the duration of the Force Majeure Event. Findernate will use commercially reasonable efforts to notify Users of the Force Majeure Event and to resume normal operations as soon as practicable.
These Terms, together with the Privacy Policy, Community Guidelines, and Seller Terms and Conditions (where applicable), constitute the entire agreement between you and Findernate with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, representations, warranties, and understandings, whether written or oral, relating to the Platform.
If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.
No failure or delay by Findernate in exercising any right, power, or privilege under these Terms shall operate as a waiver of that right, power, or privilege. No single or partial exercise of any right, power, or privilege shall preclude any other or further exercise thereof or the exercise of any other right, power, or privilege.
You may not assign or transfer any of your rights or obligations under these Terms without Findernate's prior written consent. Findernate may freely assign these Terms, in whole or in part, to any affiliate, successor company, or acquirer in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of Findernate's assets, without your consent.
All notices to Findernate under these Terms must be sent in writing to infofindernate@gmail.com or to the registered address stated in Section 20. Notices will be deemed received on the next business day after sending by email, or three (3) business days after posting by registered post. Findernate may send notices to Users via the email address registered to their account or through an in-Platform notification.
Nothing in these Terms shall create or be deemed to create any partnership, joint venture, employment relationship, franchise, agency, or fiduciary relationship between Findernate and any User. Users are independent individuals or entities transacting on the Platform.
These Terms are written in English. In the event of any conflict or inconsistency between the English version and any translated version of these Terms, the English version shall prevail. The official and controlling version of these Terms shall at all times be the English-language version.
