1. ACCEPTANCE OF TERMS

Welcome to FINDERNATE! These Terms of Use ("Terms") constitute a legally binding agreement between you and FINDERNATE ECOM PRIVATE LIMITED ("FINDERNATE," "we," "us," or "our"), a company incorporated under the laws of India with its registered office at NO.5/6(A), PATTANUR, JAKKUPATTI, KARIMANGALAM (TK), DHARMAPURI, Tamil Nadu, India - 635202. By accessing or using our platform, website, mobile application, or any related services (collectively, the "Platform"), you agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree with these Terms, you must not access or use the Platform.

These Terms apply to all users of the Platform, including but not limited to browsers, buyers, sellers, business owners, and contributors of content. By using the Platform, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2. DESCRIPTION OF SERVICES

FINDERNATE is a comprehensive online marketplace and social networking platform that enables users to:

  • Buy and sell products, services, and businesses
  • Create and maintain social profiles and business profiles
  • Post content, share updates, and interact with other users
  • Utilize secure escrow services for transactions through our integrated payment partner Razorpay
  • Subscribe to business plans (Free Business, Small Business, or Corporate) with varying features and visibility benefits
  • Access audio and video calling features (available for paid subscribers)
  • Engage in community interactions, messaging, and networking

FINDERNATE operates as an intermediary marketplace platform and does not own, sell, or control the products, services, or businesses listed by users. We facilitate connections between buyers and sellers but do not guarantee the quality, safety, legality, or accuracy of any listings.

3. USER ACCOUNTS AND REGISTRATION

3.1 Account Creation

To access certain features of the Platform, you must create an account by providing accurate, complete, and current information. You must be at least 18 years old to create an account. When registering, you may be required to provide personal information including but not limited to your name, email address, phone number, and business details. For business accounts, additional verification documents may be required.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify FINDERNATE of any unauthorized use of your account or any other breach of security. FINDERNATE will not be liable for any loss or damage arising from your failure to protect your account information.

3.3 Account Verification

FINDERNATE reserves the right to verify the identity and authenticity of users through Know Your Customer (KYC) procedures. You agree to provide any additional documentation or information requested for verification purposes, including government-issued identification, business registration documents, and tax identification numbers.

3.4 Account Suspension and Termination

FINDERNATE reserves the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms, fraudulent activity, failure to verify your identity, or engaging in prohibited conduct. Upon termination, your right to use the Platform will immediately cease.

4. BUSINESS SUBSCRIPTION PLANS

FINDERNATE offers three business subscription tiers:

4.1 Free Business Plan

The Free Business Plan provides access to basic marketplace features and standard visibility in social media feeds. Users can create listings, engage with the community, and conduct transactions subject to platform limitations.

4.2 Small Business Plan (Paid)

The Small Business Plan is a paid subscription that provides enhanced visibility for product, service, and business posts in the social media home feed. Posts from Small Business subscribers receive preferential algorithmic treatment and are more likely to appear prominently to other users. Additional promotional features and analytics may also be included.

4.3 Corporate Plan (Paid)

The Corporate Plan is a premium paid subscription offering maximum visibility, priority placement in feeds, access to exclusive features including audio and video calling capabilities through our service provider Stream, advanced analytics, and dedicated support. Corporate subscribers receive the highest level of algorithmic preference for their content.

4.4 Subscription Terms

All paid subscriptions are subject to the pricing and payment terms specified at the time of purchase. Subscriptions may renew automatically unless cancelled prior to the renewal date. FINDERNATE reserves the right to modify subscription features, pricing, and terms with reasonable notice. Enhanced visibility and preferential algorithmic treatment are benefits of paid subscriptions, but FINDERNATE does not guarantee specific placement or engagement results.

5. MARKETPLACE TRANSACTIONS

5.1 Seller Obligations

If you are a seller on the Platform, you agree to:

  • Provide accurate, complete, and truthful descriptions of products, services, or businesses listed
  • Set fair and accurate pricing
  • Fulfill orders promptly and as described
  • Comply with all applicable laws, regulations, and tax obligations
  • Maintain proper business licenses and permits as required
  • Record and provide a clear video of the packaging and shipping process ("boxing video") for all deliveries to assist with dispute resolution
  • Upload valid tracking information for all shipped orders

Sellers are solely responsible for the legality, quality, safety, and authenticity of items they list. FINDERNATE does not verify or guarantee seller listings.

5.2 Buyer Obligations

If you are a buyer on the Platform, you agree to:

  • Provide accurate shipping and contact information
  • Make timely payments for purchases
  • Review product/service descriptions carefully before purchase
  • Record and provide a clear video of the unboxing process ("unboxing video") for all deliveries received, to assist with dispute resolution if issues arise
  • Communicate directly with sellers regarding order issues

Buyers acknowledge that transactions are made directly with sellers, and FINDERNATE is not a party to the sale. Buyers are responsible for evaluating the suitability and quality of purchases.

5.3 Prohibited Items and Conduct

The following items and activities are strictly prohibited on the Platform:

  • Illegal products, services, or counterfeit goods
  • Weapons, ammunition, explosives, or hazardous materials
  • Drugs, controlled substances, or prescription medications
  • Stolen property or items that infringe on intellectual property rights
  • Adult content or services
  • Fraudulent schemes, pyramid schemes, or misleading business opportunities
  • Items that violate any applicable laws or regulations
  • Any conduct that involves harassment, threats, or abuse of other users

6. ESCROW SERVICES

6.1 Escrow System Overview

FINDERNATE provides an escrow service for transactions through our integrated payment partner, Razorpay. The escrow system is designed to protect both buyers and sellers by holding funds securely until transaction conditions are met. When you use the escrow service, the buyer's payment is held by Razorpay in a secure escrow account until the buyer confirms receipt and satisfaction with the product or service, or until the specified conditions for release are met.

6.2 How Escrow Works

The escrow process typically follows these steps:

  • Buyer initiates purchase and agrees to use escrow service
  • Payment is processed through Razorpay and held in escrow
  • Seller is notified of payment and proceeds to fulfill the order
  • Seller ships the product and uploads tracking information along with a boxing video
  • Buyer receives the product and records an unboxing video
  • Buyer confirms receipt and satisfaction, or raises a dispute if issues arise
  • Upon confirmation or dispute resolution, funds are released to the seller or refunded to the buyer

6.3 Escrow Fees

Escrow services may be subject to transaction fees as specified at the time of purchase. These fees cover the costs of payment processing, security, and dispute resolution services. Fees are typically deducted from the transaction amount and are non-refundable unless otherwise specified.

6.4 Escrow Limitations

The escrow service is provided by Razorpay and is subject to their terms of service. FINDERNATE acts solely as an intermediary to facilitate the escrow process. FINDERNATE does not hold funds directly and is not responsible for any delays, errors, or failures in the payment processing or escrow system operated by Razorpay. Your use of Razorpay's services is also governed by Razorpay's terms and policies.

7. DISPUTE RESOLUTION PROCESS

7.1 Filing a Dispute

If a buyer is dissatisfied with a delivery or believes that the product or service received does not match the listing description, they may file a dispute through the Platform within the specified dispute period (typically 7 days from delivery confirmation). Disputes must be filed with clear descriptions of the issue and supporting evidence.

7.2 Required Evidence for Disputes

To facilitate fair and effective dispute resolution, both buyers and sellers must provide the following evidence:

Seller Requirements:

  • Boxing Video: A clear, unedited video showing the product being packaged, including visible product details, packaging materials, and the sealing of the package
  • Tracking Information: Valid courier tracking number and proof of shipment
  • Shipping Receipt: Documentation from the courier service showing the date, weight, and destination of the shipment

Buyer Requirements:

  • Unboxing Video: A clear, unedited video showing the package in its received condition, the opening of the package, and the product inside
  • Product Photos: Clear photographs showing any defects, damage, or discrepancies with the listing description
  • Delivery Confirmation: Proof of delivery date and condition of the package upon receipt

CRITICAL: Both boxing and unboxing videos are mandatory for dispute resolution. Without these videos, FINDERNATE may not be able to verify claims, and disputes may be decided based on available evidence or denied.

7.3 FINDERNATE Admin Review

Upon receipt of a dispute, FINDERNATE administrators will review all submitted evidence, including boxing videos, unboxing videos, tracking information, and any other relevant documentation. The admin team will verify the authenticity of the evidence and assess whether the product/service delivered matches the listing description. This review process typically takes 3-7 business days, but may take longer for complex cases.

7.4 Dispute Resolution Outcomes

Based on the evidence review, FINDERNATE administrators may:

  • Release escrow funds to the seller if evidence confirms proper delivery and product authenticity
  • Refund the buyer if evidence confirms that the product was not as described, damaged, or not delivered
  • Arrange for partial refunds or returns based on the severity of the issue
  • Request additional information or evidence from either party if initial submissions are insufficient

7.5 Limitation of FINDERNATE's Role

IMPORTANT LIMITATION: FINDERNATE will make reasonable efforts to resolve disputes based on the evidence provided. However, FINDERNATE acts solely as an intermediary and facilitator. If, after reviewing all available evidence, the dispute cannot be satisfactorily resolved, or if the evidence is inconclusive, conflicting, or insufficient, FINDERNATE reserves the right to close the dispute without a resolution.

FINDERNATE IS NOT LIABLE for any losses, damages, or claims arising from unresolved disputes. In such cases, the parties involved (buyer and seller) may pursue resolution through appropriate judicial or legal channels in accordance with Indian law. FINDERNATE will comply with and support any investigation or court proceedings as required by Indian law, including providing relevant transaction records, evidence, and testimony if legally compelled.

7.6 Binding Nature of Decisions

Dispute resolution decisions made by FINDERNATE administrators are binding on the parties unless overturned by a competent court of law. By using the Platform and escrow services, you agree to abide by FINDERNATE's dispute resolution decisions. If you disagree with a decision, you may seek recourse through Indian courts.

7.7 Fraudulent Disputes

Filing false or fraudulent disputes is strictly prohibited. Users who file dishonest disputes, provide falsified evidence (including edited or staged videos), or engage in dispute abuse may have their accounts suspended or terminated, and may face legal action. FINDERNATE reserves the right to report fraudulent activity to law enforcement authorities.

8. CONTENT AND INTELLECTUAL PROPERTY

8.1 User-Generated Content

You retain ownership of any content you post, upload, or share on the Platform ("User Content"), including text, photos, videos, listings, reviews, and comments. By posting User Content, you grant FINDERNATE a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, display, distribute, and create derivative works from your content for the purpose of operating, promoting, and improving the Platform.

8.2 Content Responsibilities

You are solely responsible for the content you post. You represent and warrant that you have all necessary rights to your content and that it does not infringe on any third-party rights or violate any laws. You agree not to post content that is defamatory, obscene, offensive, fraudulent, or otherwise inappropriate.

8.3 FINDERNATE Intellectual Property

All content, features, and functionality of the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, software, and design, are the exclusive property of FINDERNATE or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any FINDERNATE content without express written permission.

8.4 Copyright Infringement

FINDERNATE respects intellectual property rights and expects users to do the same. If you believe that your copyrighted work has been infringed on our Platform, please notify us at infofindernate@gmail.com with details of the alleged infringement. We will investigate and take appropriate action, which may include removing the infringing content and suspending the offending user's account.

9. PROHIBITED CONDUCT

In addition to the prohibited items listed in Section 5.3, users are prohibited from:

  • Impersonating any person or entity or falsely representing your affiliation with any person or entity
  • Engaging in any form of market manipulation, price fixing, or bid rigging
  • Using the Platform for money laundering, terrorist financing, or other illegal financial activities
  • Attempting to gain unauthorized access to other users' accounts, the Platform's systems, or any related networks
  • Using automated systems, bots, or scripts to access or interact with the Platform without permission
  • Interfering with or disrupting the Platform's functionality or security
  • Collecting or harvesting user information without consent
  • Posting spam, advertisements, or unsolicited promotional content
  • Engaging in any conduct that violates these Terms or applicable laws
  • Using the Platform in any manner that could damage FINDERNATE's reputation or business interests

10. THIRD-PARTY SERVICES

The Platform integrates with third-party service providers including Razorpay (payment and escrow), Stream (audio/video calling), Mailchimp (email marketing), and Zoho (business email). Your use of these third-party services is subject to their respective terms of service and privacy policies. FINDERNATE is not responsible for the actions, performance, or policies of third-party service providers. Any issues with third-party services should be directed to the respective provider.

11. PRIVACY AND DATA PROTECTION

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy. FINDERNATE complies with the Information Technology Act, 2000, Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011, and the Digital Personal Data Protection Act, 2023.

12. PAYMENT AND FEES

FINDERNATE may charge fees for certain services, including subscription plans, transaction fees, escrow fees, and other premium features. All fees are specified at the time of purchase or subscription. You agree to pay all applicable fees and authorize FINDERNATE or its payment processor to charge your designated payment method. Fees are non-refundable unless otherwise specified or required by law.

All payments are processed securely through Razorpay. You are responsible for ensuring that your payment information is accurate and current. FINDERNATE is not responsible for any issues arising from incorrect payment information or payment processing failures.

13. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY INDIAN LAW, FINDERNATE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF FINDERNATE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

FINDERNATE provides the Platform on an "as is" and "as available" basis. FINDERNATE makes no warranties, express or implied, regarding the Platform's operation, availability, accuracy, or reliability. FINDERNATE does not guarantee that the Platform will be uninterrupted, secure, or error-free.

FINDERNATE is not liable for any disputes between users, the quality or safety of products or services sold through the Platform, or any losses arising from transactions conducted on the Platform. Your sole remedy for dissatisfaction with the Platform is to stop using it.

In no event shall FINDERNATE's total liability to you for all claims exceed the amount you paid to FINDERNATE in the twelve (12) months preceding the claim, or INR 10,000, whichever is less.

14. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless FINDERNATE, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses (including reasonable attorneys' fees), arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; (d) your User Content; (e) your transactions with other users; or (f) your violation of any applicable laws or regulations.

15. TERMINATION

FINDERNATE reserves the right to suspend or terminate your account and access to the Platform at any time, with or without notice, for any reason, including but not limited to violation of these Terms, fraudulent activity, or any conduct that FINDERNATE deems harmful to the Platform or other users. Upon termination, your right to use the Platform will immediately cease, and any outstanding obligations, including payment obligations, will remain in effect.

You may terminate your account at any time by contacting us at infofindernate@gmail.com. Upon termination, you will no longer have access to your account, and any subscription benefits will cease. Fees paid for subscriptions are non-refundable upon voluntary termination.

16. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any disputes arising out of or related to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts located in Dharmapuri, Tamil Nadu, India.

If any dispute cannot be resolved through FINDERNATE's dispute resolution process, you may pursue resolution through the appropriate judicial courts in India. FINDERNATE will comply with and support any legal proceedings as required by Indian law.

17. CHANGES TO THESE TERMS

FINDERNATE reserves the right to modify or update these Terms at any time. When we make material changes, we will notify you by email or through a prominent notice on the Platform prior to the changes taking effect. Your continued use of the Platform after such modifications constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must discontinue use of the Platform.

18. SEVERABILITY

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

19. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and FINDERNATE regarding your use of the Platform and supersede all prior agreements and understandings, whether written or oral.

21. ACKNOWLEDGMENT AND ACCEPTANCE

BY ACCESSING OR USING THE FINDERNATE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF USE. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE PLATFORM.
