BY REGISTERING AS A SELLER ON THE FINDERNATE PLATFORM, LISTING ANY PRODUCT, OR RECEIVING ANY PAYMENT THROUGH THE PLATFORM, YOU UNCONDITIONALLY AGREE TO BE LEGALLY BOUND BY THESE SELLER TERMS & CONDITIONS. IF YOU DO NOT AGREE, YOU MUST NOT REGISTER AS A SELLER OR USE THE PLATFORM IN A SELLING CAPACITY.

1. PRELIMINARY MATTERS

1.1 Who These Terms Apply To

These Seller Terms & Conditions (“Seller Terms”) govern the relationship between Findernate Ecom Private Limited (“Findernate,” “we,” “us,” or “our”) and any individual, proprietorship, partnership, limited liability partnership, private limited company, or any other legal entity that registers to sell products on the Findernate marketplace platform at https://findernate.com/ (the “Platform”).

These Seller Terms are in addition to, and must be read alongside, the Platform’s general Terms of Use, Privacy Policy, Refund and Return Policy, and all other policies published on the Platform. In the event of any conflict between these Seller Terms and the general Terms of Use, these Seller Terms shall prevail in relation to Seller-specific matters.

1.2 Modifications

Findernate reserves the right to amend these Seller Terms at any time. Updated terms will be published on the Platform. Your continued use of the Platform as a Seller after publication of revised terms constitutes your acceptance of those revised terms. It is your responsibility to review these Seller Terms periodically.

2. SELLER ELIGIBILITY AND REGISTRATION

2.1 Eligibility Criteria

To register as a Seller on Findernate, you must meet all of the following eligibility requirements:

  • You must be at least 18 years of age and legally capable of entering into binding contracts under the Indian Contract Act, 1872;
  • If you are registering on behalf of a business entity, you must have the authority to bind that entity to these Seller Terms;
  • You must hold a valid GST registration (or be exempt under applicable GST law and able to demonstrate such exemption) in respect of the products you intend to sell;
  • You must possess all licences, permits, certifications, and regulatory approvals required to manufacture, distribute, or sell the products you intend to list;
  • You must not be subject to any legal prohibition, court order, or regulatory restriction that prevents you from selling goods online or on the Platform.

2.2 Registration Process and KYC

During Seller registration, you will be required to submit the following information and documents for verification:

  • Full legal name or business name and entity type;
  • Registered business address and operational address;
  • PAN card (individual or entity);
  • GST registration certificate or exemption declaration;
  • Valid bank account details for payout purposes;
  • Contact mobile number and email address;
  • Identity proof of the authorised representative (Aadhaar, Passport, or equivalent).

Findernate reserves the right to conduct enhanced due diligence, request additional documents, or reject any Seller registration at its sole discretion and without assigning reasons. Approval of a registration does not constitute an endorsement of the Seller or their products.

2.3 Accuracy of Registration Information

You represent and warrant that all information provided during registration and at any time during your use of the Platform is true, accurate, current, and complete. You must promptly update your Seller profile if any information changes. Findernate shall not be responsible for any consequence arising from inaccurate or outdated Seller information.

3. PRODUCT LISTINGS AND CONTENT STANDARDS

3.1 General Listing Obligations

By creating a product listing on the Platform, you make legally binding representations to Findernate and to prospective Buyers. Every listing you publish must:

  • Accurately describe the product, including its material composition, dimensions, colour, weight, and all specifications that a reasonable Buyer would consider material to a purchase decision;
  • Display clear, original photographs of the actual product being sold — stock photos not representative of the actual product are prohibited;
  • State the price inclusive of all applicable taxes, or clearly disclose any additional charges (such as shipping fees) that will apply at checkout;
  • Specify the available stock quantity accurately and update inventory in real time to avoid overselling;
  • Clearly disclose the brand name, country of origin, and the name and address of the manufacturer or packer, as required under the Legal Metrology (Packaged Commodities) Rules, 2011;
  • Disclose any material limitations, defects, or conditions of the product (e.g., “pre-owned,” “refurbished,” “open box”);
  • State your return, refund, and exchange policy clearly on the listing page.

3.2 Prohibited Listings

The following products and categories are strictly prohibited from being listed on the Platform. This list is illustrative and not exhaustive. Findernate reserves the right to determine whether any product falls within a prohibited category:

  • Counterfeit, imitation, or replica products of any brand;
  • Stolen goods or goods of uncertain provenance;
  • Weapons, firearms, ammunition, and related accessories (unless specifically permitted by a separate category policy);
  • Narcotic drugs, psychotropic substances, and any controlled substances;
  • Products prohibited under the Drugs and Cosmetics Act, 1940 or any other applicable law;
  • Pirated software, music, films, or other content infringing copyrights;
  • Products that violate any third party’s Intellectual Property rights;
  • Adult content, obscene materials, and items prohibited under the Information Technology Act, 2000;
  • Hazardous chemicals, explosives, and radioactive materials without appropriate authorisations;
  • Any product whose manufacture, import, sale, or distribution is prohibited by Indian law.

IMPORTANT: Listing a prohibited product may result in immediate removal of the listing, suspension or termination of your Seller account, withholding of pending payouts, and referral to law enforcement authorities. You will be solely liable for all consequences arising from prohibited listings.

3.3 Intellectual Property in Listings

All content in your product listings including product photographs, descriptions, brand names, and logos must either be your original work or content for which you hold the necessary rights, licences, and permissions to use and publish. You must not:

  • Use another brand’s trademark, logo, or product imagery without that brand’s authorisation;
  • Copy product descriptions from another Seller’s listing or from a third-party website;
  • Use misleading category keywords or SEO manipulation in listing titles or descriptions.

3.4 Listing Accuracy and Updates

You are responsible for keeping your listings accurate and up to date at all times. This includes promptly updating price, stock availability, and product descriptions. Findernate reserves the right to remove or modify listings that are inaccurate, incomplete, misleading, or in violation of these Seller Terms, without prior notice.

4. ORDER ACCEPTANCE, FULFILMENT, AND SHIPPING

4.1 Order Acceptance

When a Buyer places an order for your product and payment is successfully processed, you will receive an order notification through the Platform. You are obligated to:

  • Confirm or acknowledge the order within the time period specified on your Seller dashboard (or within 24 hours if no specific period is set);
  • Verify that the product is available and in the described condition before confirming the order;
  • Promptly notify Findernate and the Buyer if an ordered product is unavailable, and initiate a full refund without delay.

Repeated failure to honour confirmed orders may result in penalties, rating sanctions, or account suspension.

4.2 Packaging and Dispatch

You are solely responsible for packaging your products safely and securely to prevent damage during transit. You must dispatch confirmed orders within the handling time committed on your Seller profile. Packaging must comply with all applicable regulations including applicable labelling requirements.

4.3 Shipping — Seller-Managed

Findernate operates a Seller-managed shipping model. As a Seller, you are responsible for:

  • Selecting a reliable logistics and courier partner for your shipments;
  • Arranging pick-up and drop-off of packages with your chosen logistics provider;
  • Entering accurate tracking details and shipment information into the Platform’s order management system promptly upon dispatch;
  • Ensuring that your shipping partner delivers to the Buyer’s address within the estimated delivery window;
  • Bearing all shipping and logistics costs (unless separately passed on to the Buyer as a clearly disclosed shipping charge at checkout).

While Findernate may, at its discretion, recommend preferred logistics partners or facilitate access to logistics tools, Findernate is not a logistics provider and is not responsible for any loss, delay, or damage caused by your chosen logistics partner.

4.4 Failed and Undelivered Shipments

In the event of a failed delivery attempt or returned shipment:

  • You must re-attempt delivery or process a full refund to the Buyer as appropriate;
  • Costs of re-delivery or return shipping shall be borne by you unless the delivery failure was caused by the Buyer’s error;
  • You must update the order status on the Platform accurately and within 48 hours of a delivery failure.

5. INVOICING, TAXATION, AND COMPLIANCE

5.1 Seller Obligation to Invoice

You are solely responsible for issuing a valid GST-compliant tax invoice to the Buyer for each completed transaction. The invoice must be issued in your name as the Seller and must contain all mandatory particulars as required under the Central Goods and Services Tax Act, 2017 and applicable state GST laws.

Findernate does NOT issue product invoices on your behalf. Any order confirmation or payment receipt generated by the Platform is a transaction record for tracking purposes only and does not constitute a valid tax invoice.

5.2 GST and Tax Compliance

You are solely responsible for:

  • Registering under GST as required by law and maintaining a valid GSTIN;
  • Collecting GST from Buyers at the applicable rate on all taxable supplies;
  • Filing all applicable GST returns (GSTR-1, GSTR-3B, etc.) accurately and on time;
  • Remitting all GST and other statutory taxes to the government;
  • Complying with Tax Deducted at Source (TDS) and Tax Collected at Source (TCS) provisions under the Income Tax Act, 1961 as applicable to e-commerce operators;
  • Maintaining all records required under applicable tax laws and making them available to Findernate or tax authorities upon request.

Findernate, as an e-commerce operator, may be required to collect Tax Collected at Source (TCS) from Seller payouts in accordance with Section 52 of the CGST Act and Section 194-O of the Income Tax Act. Applicable TCS/TDS deductions will be reflected in your payout statements.

6. COMMISSION, FEES, AND SELLER PAYOUTS

6.1 Commission Model

Findernate operates on a commission-per-transaction model. A commission is charged as a percentage of the transaction value (including taxes) for each completed sale made through the Platform. The applicable commission rate may vary by product category and will be communicated to you via your Seller dashboard and any Seller fee schedule published by Findernate from time to time.

Commission Rate Notice:The applicable commission percentage for your product category is displayed on your Seller dashboard. Findernate reserves the right to revise commission rates with 15 days’ notice to active Sellers via the Platform or registered email.

6.2 Additional Fees

In addition to the commission, the following fees may apply and will be disclosed in your Seller dashboard:

  • Payment gateway processing fees: Charged by the payment gateway provider and passed through to you on a cost-recovery basis;
  • Sponsored / Boosted Listing fees: Charged when you opt to promote your listings through Findernate’s paid visibility programmes (see Section 9);
  • Return and refund processing fees: Where applicable, a handling fee may be charged where a Buyer-initiated return is due to Seller error (incorrect, damaged, or defective product).

6.3 Payout Schedule and Process

Seller payouts (transaction proceeds net of commission, applicable TCS/TDS, fees, and any adjustments) will be processed in accordance with the payout schedule specified on your Seller dashboard. Payouts will be credited to the bank account registered on your Seller profile. You must ensure that your bank details are accurate and current at all times.

6.4 Payout Holds and Withholding

Findernate reserves the right to place a hold on or withhold any payout in the following circumstances:

  • A Buyer dispute or refund request is pending in respect of the relevant transaction;
  • A chargeback has been raised by the Buyer’s bank;
  • Findernate has reasonable grounds to suspect fraud, policy violation, or misrepresentation in relation to the transaction or your account;
  • Your account is under investigation for a reported violation of these Seller Terms;
  • There is an outstanding legal hold, court order, or regulatory direction.

Findernate will notify you of any payout hold through your Seller dashboard or registered email and will specify the reason for the hold. Disputes regarding payout holds must be raised through the grievance mechanism described in Section 13.

7. RETURNS, REFUNDS, AND DISPUTE HANDLING

7.1 Seller Return Policy Disclosure

You must maintain and publish a clear return and refund policy on your Seller profile and on each product listing. Your policy must at minimum specify the return window (number of days from delivery), the conditions under which returns are accepted, and the process for initiating a return.

7.2 Mandatory Acceptance of Returns

Regardless of your individual return policy, you must accept returns and process full refunds in the following circumstances:

  • The product delivered is materially different from the product described in the listing (wrong product, wrong size, wrong colour, etc.);
  • The product is damaged, broken, or defective upon delivery;
  • The product is counterfeit or not as described;
  • The product is not delivered within a reasonable period of the committed delivery window.

7.3 Refund Processing

Upon approval of a valid return or refund request, you must process the refund promptly and in any case no later than 7 business days from the date of return of the product (or from the date of the approved refund decision in cases of non-delivery). Findernate may facilitate refund processing by adjusting future payouts or making direct refunds to Buyers and recovering the amount from your payout.

7.4 Buyer Disputes

Where a Buyer raises a dispute through the Platform’s dispute mechanism, you are required to:

  • Respond to the dispute notification within 48 hours through your Seller dashboard;
  • Provide all relevant evidence, communications, and documentation to support your position;
  • Engage in good faith with the dispute resolution process facilitated by Findernate.

Findernate’s decision in facilitating a dispute resolution is advisory but Findernate reserves the right to make adjustments to payouts to protect Buyers where a Seller fails to respond or engage with the process.

8. SELLER RATINGS AND BADGE SYSTEM

8.1 How Seller Ratings Work

Findernate operates a Seller rating system through which Buyers can rate Sellers on a scale of 1 to 5 stars following a completed transaction. Ratings are calculated as a rolling average based on your most recent transactions and are publicly visible on your Seller profile. Ratings reflect factors including product quality, listing accuracy, delivery speed, packaging, and responsiveness.

8.2 Seller Badge Programme

Findernate may award Sellers performance badges based on metrics including but not limited to: order fulfilment rate, on-time dispatch rate, return rate, Buyer satisfaction ratings, and account standing. Badge tiers and the criteria for earning, maintaining, and losing badges will be published and updated on the Platform from time to time. Badges may affect your listing’s visibility in search results and may qualify you for reduced commission rates, priority payout processing, and other benefits.

8.3 Your Obligations Regarding Ratings

You must not:

  • Solicit, incentivise, or coerce Buyers to leave positive ratings;
  • Attempt to manipulate the rating system through false transactions, fake accounts, or any other means;
  • Threaten, harass, or intimidate Buyers who have left negative ratings;
  • Purchase or facilitate the purchase of ratings from any third party.

Any attempt to manipulate ratings will result in permanent account suspension and forfeiture of all pending payouts. Findernate uses algorithmic detection to identify rating manipulation.

8.4 Performance Thresholds

Sellers whose ratings or performance metrics fall below thresholds set by Findernate (and published on the Platform) may be subject to: increased scrutiny of listings, temporary suspension of listing privileges, mandatory training requirements, or account termination. You will be notified before any sanction is applied, except where immediate action is required to protect Buyers.

9. SPONSORED AND BOOSTED LISTINGS

9.1 Nature of the Programme

Findernate offers a Sponsored / Boosted Listings programme that allows Sellers to pay for enhanced visibility of specific product listings in search results, category pages, and promotional placements on the Platform. Sponsored listings are clearly marked on the Platform as “Sponsored” or “Promoted” to ensure transparency with Buyers.

9.2 Eligibility and Enrolment

To participate in the Sponsored Listings programme, you must have a verified Seller account in good standing with no active violations or payout holds. Enrolment is through your Seller dashboard, and participation is entirely voluntary.

9.3 Fees and Billing

Sponsored listing fees are charged on a cost-per-click (CPC) or cost-per-impression (CPM) basis, as configured for each campaign. Fees are deducted from your Seller wallet or adjusted against your next payout. Findernate reserves the right to set minimum bid floors and adjust the programme structure. Campaign performance data will be available through your Seller dashboard.

9.4 No Guarantee of Performance

Findernate does not guarantee any specific volume of clicks, impressions, sales, or revenue from participation in the Sponsored Listings programme. Advertising fees are non-refundable except in cases of technical error attributable to the Platform. You must ensure that sponsored listings comply with all Listing Standards set out in Section 3.

10. INTELLECTUAL PROPERTY AND CONTENT LICENCE

By uploading product listings, images, descriptions, and other content to the Platform, you grant Findernate Ecom Private Limited a non-exclusive, royalty-free, worldwide, sublicensable licence to host, display, reproduce, distribute, and use such content for the purposes of operating the Platform, promoting the Platform and its Sellers (including in advertising and marketing materials), and providing Platform Services.

You represent and warrant that you own all rights in the content you upload or have obtained all necessary permissions. You indemnify Findernate against any claim arising from Intellectual Property infringement in your listings or uploaded content.

Findernate’s name, logo, trademarks, and platform design are its exclusive property. You may not use Findernate’s branding in any marketing materials without prior written approval.

11. CONFIDENTIALITY AND DATA

In the course of your use of the Platform, you may receive access to certain non-public information about Findernate’s technology, business practices, and Buyer data. You agree to:

  • Keep all such information strictly confidential and not to disclose it to any third party;
  • Use Buyer data (including Buyer names, addresses, and contact details shared for fulfilment purposes) solely for the purpose of fulfilling the specific order and for no other purpose including marketing, profiling, or cross-selling;
  • Not store Buyer personal data beyond the period necessary for order fulfilment;
  • Comply with all obligations under applicable data protection law in respect of Buyer data you receive.

You may not contact a Buyer through any channel other than the Platform’s messaging system for purposes unrelated to fulfilling a specific confirmed order. Unsolicited marketing to Buyers using contact information obtained through the Platform is strictly prohibited.

12. INDEMNITY AND LIABILITY

12.1 Seller Indemnity

You agree to fully indemnify, defend, and hold harmless Findernate Ecom Private Limited, its directors, officers, employees, agents, and affiliates from and against any and all claims, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or connected to:

  • Any product listed or sold by you on the Platform, including claims of product defect, personal injury, property damage, or consumer harm;
  • Any breach of these Seller Terms, the general Terms of Use, or any Applicable Law;
  • Any claim of Intellectual Property infringement relating to your listings or products;
  • Any fraudulent, misleading, or illegal activity by you or your agents;
  • Any dispute raised by a Buyer arising from your products or conduct;
  • Any failure to comply with your tax, regulatory, or statutory obligations.

12.2 Findernate’s Limitation

Findernate’s liability to you as a Seller, whether in contract, tort, or otherwise, is limited to the commission amounts actually received by Findernate from your transactions in the three months preceding the event giving rise to the claim. Findernate shall not be liable for any loss of profits, business interruption, reputational damage, or consequential loss you may suffer in connection with the Platform.

13. SUSPENSION, TERMINATION, AND CONSEQUENCES

13.1 Grounds for Suspension or Termination

Findernate may suspend or permanently terminate your Seller account, with or without prior notice, in any of the following circumstances:

  • Listing prohibited products or violating listing standards;
  • Repeated failure to fulfil confirmed orders;
  • Seller rating falling below the minimum threshold;
  • Fraudulent activity, misrepresentation, or manipulation of the Platform;
  • Material breach of any provision of these Seller Terms;
  • Non-compliance with applicable legal, regulatory, or tax obligations;
  • Receiving multiple verified Buyer complaints within a short period;
  • Being subject to insolvency proceedings or winding up.

13.2 Consequences of Termination

Upon termination of your Seller account:

  • All your product listings will be immediately removed from the Platform;
  • Pending payouts will be processed after deducting any amounts owed to Findernate or payable to Buyers as refunds, subject to a hold period determined by Findernate for dispute resolution purposes;
  • Your right to access the Seller dashboard and Platform tools will cease;
  • Your obligations under Sections 11 (Confidentiality), 12 (Indemnity), and all other provisions that by their nature survive termination, will remain in force.

13.3 Voluntary Deregistration

You may deregister as a Seller at any time by submitting a written request to infofindernate@gmail.com. Before deregistration, you must ensure all pending orders are fulfilled, all pending returns and refunds are processed, and there are no outstanding disputes. Findernate will process your final payout after a 30-day settling period post-deregistration.

14. GRIEVANCE MECHANISM AND DISPUTE RESOLUTION

14.1 Seller Grievance Officer

14.2 Escalation

If you are not satisfied with the resolution provided by the Grievance Officer, you may escalate the matter to arbitration in accordance with Section 14.3.

14.3 Governing Law and Arbitration

These Seller Terms are governed by the laws of India. Any unresolved dispute arising out of or in connection with these Seller Terms shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 before a sole arbitrator. The seat of arbitration shall be Dharmapuri, Tamil Nadu. The language shall be English. The arbitrator’s award shall be final and binding.

These Seller Terms & Conditions are effective as of March 27, 2026. By registering as a Seller and using the Platform, you confirm that you have read, understood, and unconditionally agreed to be bound by all provisions herein.
